1.1. These Terms and Conditions ("Terms") govern the B2B eSIM distribution services provided under the brand GloEsim by SwiftReload Inc, a company duly incorporated and operating in Canada (hereinafter "SwiftReload Inc", "GloEsim", "we", or "us").
1.2. These Terms apply to any business entity registering for, accessing, or using the GloEsim dashboard, platform, APIs, or related services ("Partner", "you").
1.3. By creating an account, placing orders, or using our services, the Partner agrees to be bound by these Terms.
1.4. No other terms proposed by the Partner shall apply unless expressly agreed in writing by SwiftReload Inc.
2.1. B2B eSIM Distribution
GloEsim provides wholesale access to prepaid eSIM products, including regional and global data plans, which Partners may resell to their customers.

GloEsim aims to provide high service availability; however, network quality depends on third-party mobile operators and international roaming partners. No guarantee of uninterrupted service is provided.
2.4. Service Changes
We may modify, enhance, or discontinue products, features, or pricing. Material changes will be communicated to Partners where reasonable.
3.1. Business Use Only
GloEsim services are available exclusively for legitimate business use.
3.2. Account Registration
The Partner must provide accurate business details and maintain up-to-date account information.
3.3. KYC / AML Requirements
SwiftReload Inc may request documents, perform compliance checks, and approve or reject accounts at its discretion.
3.4. Account Security
The Partner is responsible for all activity performed under its account, including API key security.

Orders placed via dashboard or API are binding once accepted.

Upon successful payment or credit, eSIMs are delivered digitally via:

Activation instructions are provided, but the Partner is responsible for supporting its own customers.
4.4. Device Compatibility
Partners must verify that end customers use eSIM-compatible, unlocked devices. No refunds will be issued for incompatibility.
4.5. Coverage and Fair Usage
Coverage, speeds, and capacity depend on local operators. Many plans include daily or total high-speed allowances with reduced speeds afterward. Partners must inform customers of all limitations.
5.1. Wholesale Pricing
Pricing is displayed in the dashboard or communicated separately. Prices may change without affecting previous purchases.

All transactions are processed in USD unless otherwise noted.

When credit is offered, invoices must be paid by the due date. Late payment may result in service suspension.

Any reversed or disputed payment may cause immediate suspension until resolved.

SwiftReload Inc processes limited operational data to deliver the service, in accordance with its Privacy Policy.
8.2. Partner Responsibilities
Partners must comply with applicable data privacy laws and inform their customers where required.
9.1. Ownership
All platform content, software, APIs, branding, and documentation are owned by SwiftReload Inc or its licensors.
9.2. License
Partners receive a limited, non-exclusive license to access the dashboard and APIs for legitimate business use.
9.3. Restrictions
Partners may not reverse-engineer, copy, redistribute, or misuse any part of the GloEsim service.
10.1. Each party agrees to keep confidential all non-public business, technical, and pricing information disclosed during the relationship.
10.2. Confidentiality obligations survive termination.
11.1. Services are provided "as is" and without any warranty of uninterrupted availability.
11.2. Network performance depends on third-party operators; SwiftReload Inc is not responsible for operator performance, coverage variations, or regional limitations.
12.1. SwiftReload Inc is not liable for any indirect, incidental, or consequential damages, including loss of profits, revenue, customers, or data.
12.2. SwiftReload Inc's total liability shall be strictly limited to providing a replacement eSIM or issuing an account credit for the affected product. No monetary refund or financial liability shall apply under any circumstances.
Partners agree to indemnify SwiftReload Inc against claims arising from:
14.1. These Terms take effect upon account creation and continue until terminated.
14.2. SwiftReload Inc may suspend or terminate the Partner's access if:
14.3. Upon termination, all outstanding payments become immediately due, and platform/API access may be revoked.
Neither party is liable for delays caused by events beyond reasonable control, including natural disasters, regulatory actions, or telecom provider outages.
Partners may not assign their rights or obligations without written consent. SwiftReload Inc may assign obligations to affiliates or successors.
SwiftReload Inc may update these Terms at any time. Updated Terms will be posted on the GloEsim platform. Continued use of services constitutes acceptance.
These Terms are governed by the laws of Ontario, Canada. Any disputes shall be resolved exclusively by the courts of Ontario, unless required otherwise by applicable law.
